These Terms & Conditions ("Terms") govern your access to and use of the website and digital products provided by LLCCODEX ("LLCCODEX", "we", "us", "our"). By using this website or purchasing our digital guide, you agree to these Terms.

1. The seller

You are contracting with LLCCODEX. Contact: support@llccodex.com.

2. Product

LLCCODEX offers a self-paced digital guide covering the setup of a U.S. LLC, EIN application, U.S. bank account opening, ITIN basics, U.S. credit building, business credit cards, reward programs, and travel hacking strategies. The guide is provided "as is" for educational purposes and does not constitute legal, tax, or financial advice.

3. Acceptance and authority

By continuing to use the service, you agree to these Terms. If you are entering into these Terms on behalf of an organisation, you represent that you are authorised to bind that organisation. If you are an individual, you confirm that you are of legal age to enter into a binding contract.

4. Payments, billing, taxes and Merchant of Record

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

Payment, billing, applicable sales tax/VAT, invoicing, cancellation, and refund mechanics are governed by Paddle's Buyer Terms. Prices are shown on the website and may include applicable taxes based on your location.

5. Licence and restrictions

Upon successful payment, LLCCODEX grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the guide for your personal or internal business purposes. You may not:

  • Resell, redistribute, publish, or share the guide or its contents in whole or in part.
  • Reverse engineer, decompile, or circumvent any technical protections.
  • Use the service for unlawful purposes, spam, fraud, or infringement of third-party rights.
  • Interfere with the security or integrity of the service (e.g., malware, probing, unauthorised scraping).

6. Intellectual property

LLCCODEX and its licensors retain all right, title, and interest in and to the service, including its content, software, documentation, and branding. No IP rights are transferred except for the limited licence granted above.

7. Account credentials

You are responsible for keeping your access link and account credentials confidential and for all activity that occurs under your account. Notify us immediately of any unauthorised use.

8. Service availability

We aim to provide continuous access to the guide, but we do not guarantee that the service will be uninterrupted, timely, secure, or error-free. Access may be affected by maintenance, updates, or events outside our reasonable control.

9. Warranties and disclaimers

To the fullest extent permitted by law, the service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. The guide is educational content and does not replace professional advice.

10. Limitation of liability

To the maximum extent permitted by law, LLCCODEX shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill. Our aggregate liability arising out of or relating to these Terms shall not exceed the amounts you paid to us in the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded under applicable law.

11. Suspension and termination

We may suspend or terminate your access for material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations. Upon termination, your right to use the service ends immediately.

See our Refund Policy. Refunds are handled by Paddle as Merchant of Record.

13. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date reflects the most recent version. Continued use of the service after changes constitutes acceptance of the updated Terms.

14. Governing law

These Terms are governed by the laws applicable at the seat of LLCCODEX, without regard to conflict of laws rules. Mandatory consumer protection rights of your country of residence remain unaffected.
